QuickBooks Integration EULA

This End-User License Agreement (“Agreement”) governs use of the Wright Industries Integration (the “Application”), a private accounting-integration application developed and operated by Wright Industries (“Wright Industries”, “we”, “us”, or “our”). The Application is provided exclusively for use by Wright Industries and its affiliated entities (collectively, “Authorized Users”) and is not licensed for use by any third party.

1. License grant

Subject to the terms of this Agreement, Wright Industries grants Authorized Users a non-transferable, non-exclusive, revocable, internal-use license to use the Application solely for the operation of Wright Industries’ own accounting and reporting workflows. No rights are granted to sublicense, redistribute, resell, or make the Application available to any third party.

2. Restrictions

Authorized Users shall not (a) reverse-engineer, decompile, or disassemble the Application; (b) use the Application to access QuickBooks Online companies they are not authorized to access; (c) attempt to extract data belonging to any entity other than Wright Industries or its affiliates; or (d) use the Application in violation of Intuit’s Developer Terms of Service.

3. Data access and ownership

The Application reads from and writes to QuickBooks Online via Intuit’s QuickBooks Online Accounting API. All QuickBooks data accessed remains the property of the QuickBooks Online subscriber. Authorized Users may revoke the Application’s access at any time through QuickBooks Online’s Connected Apps interface.

4. Warranty disclaimer

The Application is provided “as is” and “as available” without warranties of any kind, express or implied. Wright Industries does not warrant that the Application will be uninterrupted, error-free, or that any defects will be corrected.

5. Limitation of liability

To the maximum extent permitted by law, Wright Industries shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from use of the Application, including but not limited to lost profits, lost data, or business interruption.

6. Termination

This Agreement terminates automatically upon revocation of the Application’s authorization in any connected QuickBooks Online company, or upon written notice from Wright Industries. Upon termination, the Authorized User shall cease all use of the Application.

7. Governing law

This Agreement is governed by the laws of the State of Colorado, without regard to its conflict-of-laws rules.
